Data License Agreement

Feraston issues Records under a controlled license governing their access, use, extraction, retention, and redistribution by authorized recipient organizations.

Scope and Definitions

This Agreement governs the license under which Feraston Records are made available to, and used by, authorized recipient organizations. It applies to all issued Records and to each representation in which a Record is delivered. For the purposes of this Agreement:

  • ·“Records” means the records issued by Feraston, in any issued representation, including PDF/A-2b, HTML, and structured-text forms;
  • ·“Material” means any Record together with its data, fields, structure, and associated content;
  • ·“Recipient” means the organization authorized to receive Records, and “Authorized Users” means the personnel within that organization permitted to access them;
  • ·“Recipient System” means the system or environment operated by or for the Recipient into which Records are received, stored, or processed.

License Grant

Subject to this Agreement, Feraston grants the Recipient a limited, non-exclusive, non-transferable, and revocable license to access and use Records for internal executive decision-support within the Recipient's organization.

The license is role-bound and conferred on the Recipient organization and its Authorized Users only. It does not transfer ownership, may not be assigned or sublicensed, and confers no rights beyond those expressly stated.

Authorized Use

Records are licensed solely for the Recipient's internal use.

  • ·access is limited to Authorized Users with a legitimate decision-support purpose;
  • ·Authorized Users shall be bound by confidentiality obligations no less protective than those stated in this Agreement;
  • ·Records shall be used only within the Recipient's organization and only for the purpose for which they are issued.

The Recipient shall protect Records with reasonable care and shall not use them in any manner inconsistent with their Access Classification.

Access Classification

Each Record carries an Access Classification governing its permitted distribution. The Recipient shall honor the classification of every Record it receives.

  • ·EXECUTIVE: distributed to authorized recipients within the licensed organization;
  • ·RESTRICTED: for executive review only; not distributed beyond Authorized Users;
  • ·INTERNAL: reserved to Feraston systems and not licensed for external use.

Where representations of a Record are extracted or indexed, the Access Classification shall be preserved as associated metadata.

Programmatic Extraction and Ingestion

Records may be received into a Recipient System and parsed, extracted, and indexed by authorized systems in accordance with the Feraston Extraction Specification.

Extraction shall rely on the canonical field anchors defined in that specification and shall preserve record control and classification metadata. Records that have not been finalized are not licensed for extraction.

Redistribution

Records may not be redistributed beyond the originating Recipient System, or disclosed outside the Recipient's organization, without the prior written authorization of Feraston.

Any permitted onward access shall be limited to Authorized Users under confidentiality obligations no less protective than those stated herein. Records shall not be resold, published, syndicated, or otherwise made available to any third party.

Derived Use and Model Training

The Recipient may generate internal analyses that reference Records for decision-support purposes, provided such outputs remain within the Recipient's organization and do not reproduce Records in substantial part.

  • ·Records shall not be used to create datasets, products, or services offered to any third party;
  • ·Records shall not be used to train, fine-tune, or develop machine-learning or artificial-intelligence models, nor supplied as input to generative systems, without the prior written authorization of Feraston.

Intellectual Property and Reservation of Rights

All Records, and all intellectual property rights in them, remain the property of Feraston or its licensors. This Agreement grants a license only and effects no transfer of ownership.

Where Feraston Records are issued, the issued Record constitutes the controlling documentary expression of the matters stated therein. All rights not expressly granted are reserved.

Retention in Recipient Systems

Records may be retained within the Recipient System for reference in accordance with their Access Classification and the terms of this Agreement.

Records superseded by a subsequent issuance shall be excluded from active reference sets while retained. Upon expiry or withdrawal of the license, the Recipient shall cease use of the affected Records and, on request, confirm their removal from active use.

Term, Suspension, and Withdrawal

Access to Records is conferred on a continuing basis and is revocable. Feraston may suspend or withdraw access, in whole or in part, where use is inconsistent with this Agreement or the applicable Access Classification.

The obligations governing confidentiality, redistribution, derived use, and intellectual property survive expiry or withdrawal of the license.

Relationship to Other Policies

This Agreement operates together with the Feraston Terms of Service and Privacy Policy, which continue to apply. To the extent any representation, warranty, or liability matter arises, the Terms of Service shall control.
